Welcome to SynchraScale (the “App”), operated by rmw.its (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the SynchraScale App and its related services.

By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the App.

This App is intended for users who are at least 13 years old. By using the App, you represent that you meet this age requirement.

2. Your Use of the App

The SynchraScale App provides various conversion tools and utilities. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal, non-commercial use, subject to these Terms.

You agree not to:

• Use the App for any illegal or unauthorized purpose.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the App without our express written permission.
• Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the App.
• Interfere with or disrupt the integrity or performance of the App or data contained therein.
• Attempt to gain unauthorized access to the App or its related systems or networks.
• Use any automated system, including but not limited to “robots,” “spiders,” or “offline readers,” to access the App in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional online web browser.

3. Intellectual Property Rights

The App and its original content, features, and functionality are and will remain the exclusive property of rmw.its and its licensors. The App is protected by copyright, trademark, and other laws of both Queensland, Australia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of rmw.its.

4. Third-Party Services

Our App integrates with third-party services for analytics and advertising. These third parties have their own terms of service and privacy policies. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

• Google Analytics: We use Google Analytics for understanding app usage and improving our service. Your use of the App is also subject to the Google Analytics Terms of Service.
• Adsterra Ads: Advertisements on our App are served by Adsterra. Your interaction with these ads and the data collected by Adsterra are governed by Adsterra’s Terms and Conditions.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

5. Disclaimers; No Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE APP IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT (I) THE APP WILL MEET YOUR REQUIREMENTS; (II) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE; OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE APP WILL MEET YOUR EXPECTATIONS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL rmw.its, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

7. Indemnification

You agree to defend, indemnify, and hold harmless rmw.its and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms; or c) your violation of any rights of another party.

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.
